Scope and provider
These terms and conditions govern the use of the website tyll.app as well as the purchase and use of the Tyll software. The website operator, developer, software provider and licensor is Peter Rudel, Wiltbergstr. 66/1, 13125 Berlin, Germany.
These terms apply to consumers and businesses. A consumer is a natural person who buys or uses Tyll mainly for purposes outside their trade, business or self-employed profession. A business is a natural or legal person, or a partnership with legal capacity, acting in the exercise of its trade, business or self-employed profession.
These terms govern our relationship with you as Tyll's developer, software provider and licensor. For purchase, payment, invoice, taxes, withdrawal and refunds, Paddle's terms included in checkout apply additionally where those topics concern Paddle as seller. We object to any conflicting terms unless we have expressly agreed to them.
Your counterparty for the purchase
The purchase of Tyll is handled by Paddle as authorised reseller and Merchant of Record. Your counterparty for the purchase is the Paddle entity named in checkout; under the current Paddle Buyer Terms, this is currently Paddle.com Market Limited for buyers in Germany. The purchase contract for acquiring the software is concluded with Paddle. Paddle handles checkout, payment, invoicing, VAT or sales tax, order-related support, withdrawal and refunds.
We are the developer, software provider and licensor of the software. These terms are the product-specific contract between you and us for Tyll: license, activation, use, updates, support, lawful use, user content, third-party components, product questions and our liability. Paddle refers to such product-specific terms as the Supplier Agreement. Paddle's Buyer Terms and Refund Policy additionally apply to your relationship with Paddle during checkout.
If purchase-related information shown by Paddle and information on our website differ, the information shown in the Paddle checkout immediately before ordering is decisive for purchase, payment, taxes, invoice, withdrawal and refunds. Your use of Tyll is also governed by these terms. Mandatory statutory rights against Paddle as seller and mandatory rights against us as software provider and licensor always remain unaffected.
Contract conclusion, checkout and delivery
The order process takes place in Paddle's checkout. Before placing the paid order, you see the essential purchase-related information there, especially product, price, taxes, payment method, counterparty, withdrawal information, Paddle's terms and these product-specific terms. You can review and correct input errors in checkout before ordering.
The purchase contract is concluded under the rules shown in Paddle's checkout. Paddle provides the purchase-related contract confirmation, invoice and legally required information in a durable way, for example by email or in your Paddle customer area. The product-specific terms relevant to Tyll are these terms; information about our data processing is in our privacy policy.
Tyll is provided as a digital download. After a successful purchase, you receive access to the app and, where required for use, a license key. If download, license delivery or activation does not work after a completed purchase, contact us at [email protected]; purchase-related refunds and payment questions are handled by Paddle.
Free trial
We may provide Tyll as a free trial for 14 days. The trial is meant to let you try Tyll before buying. No purchase contract with Paddle is concluded for the trial unless you complete a paid purchase in Paddle's checkout.
The trial ends automatically when the trial period expires. It does not create a subscription, automatic payment or obligation to buy. If you want to keep using Tyll after the trial ends, you must buy a paid license and activate the software with a valid license key.
These terms apply accordingly to use of the trial, especially the rules on lawful use of recordings and transcripts, optional AI providers, data protection, warranty and liability. The app may perform a license or trial entitlement check for trial start, duration, abuse prevention or activation; details on data processing are in the privacy policy.
We may limit the trial in functionality, duration or availability where this is visible before or when using the trial. Statutory rights remain unaffected.
What Tyll does
Tyll is software for macOS that combines dictation and a meeting assistant in one app. Speech recognition, transcription, recordings, contacts and speaker profiles run locally on your Mac by default. The app does not require a user account.
Optional extras such as summaries or text polishing can be used through an AI model you connect yourself. These features are optional and may create additional costs or separate terms with the provider you choose.
The system requirements stated at the time of purchase apply to the version you acquire, such as Apple Silicon, a supported macOS version, storage space and required macOS permissions. Later versions or new major versions may have different system requirements where this is visible before updating. We owe a specific function, availability, recognition accuracy or result only insofar as it is expressly described.
Prices and payment
The total price shown in Paddle's checkout immediately before ordering applies. All prices include any applicable VAT or sales tax, which is shown and remitted via Paddle. Payment is made through the payment methods offered by Paddle.
We do not charge additional costs for distance communication used to conclude the contract through our website. Costs of your internet access or mobile provider remain unaffected. Costs for optional external AI providers or integrations are not included in the Tyll purchase price and arise only if you set up and use such providers yourself.
License and usage rights
With the purchase you receive a simple, non-exclusive and time-unlimited right to use Tyll under these terms. Time-unlimited means: the license is not a subscription and does not expire after a fixed period. As a consumer, you may use Tyll for your own private or professional purposes. As a business, you may use Tyll for internal business purposes of your organization. A standard license can be active on one Mac at a time.
The standard license is not a multi-seat, team, server, hosting or managed-service license. You may not rent, lease, sublicense, use Tyll for several concurrently active Macs, provide it as a service to third parties, or make it available to others in a way that lets them use Tyll independently of your licensed use.
You can self-transfer a standard license to another Mac up to 3 times in a rolling 30-day window. When you transfer the license, the previous activation ends on the server and the new Mac becomes active. Reinstalling on the same already active Mac does not count as a transfer. If you need help because of a defect, repair, lost device, replacement device or lawful permanent transfer, and the self-service limit is not enough, contact us. This limit governs only technical device changes and does not restrict mandatory statutory transfer rights.
A permanent transfer of a lawfully purchased, time-unlimited standard license remains permitted where mandatory law allows it. In that case you must fully stop your own use, delete or make unusable your local copies of the app and license key, and transfer the license in full to the recipient. Splitting, partial transfer or parallel continued use is not allowed. If a lawful transfer requires a technical activation change, we will help with that to a reasonable extent.
You may not circumvent, remove or manipulate the protection and license mechanisms contained in the software. Modification, backup copies, decompilation or reverse engineering are permitted only within the limits of mandatory statutory law, in particular §§ 69d and 69e UrhG.
All rights in the software, including copyright, remain with us.
Updates and further development
Tyll is not a subscription. After successful activation, the purchased app stays usable locally on your Mac when you are offline or when our license server is temporarily unavailable.
Tyll checks the stored activation at startup when the license server is reachable. A local activation does not become invalid merely because your Mac is offline, a network connection fails, or our license server is temporarily unavailable. An activation can be withdrawn on the server side only through an explicit response from the license server, in particular if the license was transferred to another Mac, the purchase was validly withdrawn, reversed or refunded, payment fraud or abuse is confirmed after review, the license is used on too many devices, or there is a concrete security risk. Where this is reasonable given the nature and urgency of the case, we will inform you beforehand or give you an opportunity to clarify the matter.
If we voluntarily decide to permanently discontinue Tyll or the license server and that discontinuation is under our control, we will, where technically and legally possible, not let lawfully purchased standard licenses fail because of the license server. In that case, we will provide existing license holders, before or at the latest upon discontinuation, with a reasonable technical solution, for example an update or offline activation, so the last provided app version can keep running locally in its supported system environment. This does not apply to validly withdrawn, reversed, refunded, fraudulently acquired or abusively used licenses. This commitment protects the purchased use of the app; it is not a promise of new features, new major versions, ongoing support, external AI providers, integrations, online services, third-party security or compatibility changes, or support for every future macOS version.
We provide updates for as long as you may legally expect them, so Tyll remains contract-compliant and secure. For a one-time purchase, this period depends on the nature and purpose of the software, the circumstances of the purchase and what is reasonable to expect. Beyond that, we continue developing Tyll as our resources allow, without promising unlimited feature updates, new major versions, particular future features or permanent support for every future macOS version.
If we provide an update that is important for security or contract compliance, we will inform you in a suitable way. You are responsible for installing such updates within a reasonable time where this is possible and reasonable for you.
We may continue developing and changing Tyll where there is a valid reason, such as security, bug fixing, technical development, macOS compatibility, legal requirements, abuse prevention or changes to connected interfaces. Such changes do not create additional Tyll license costs for you. If a change more than insignificantly affects access to or usability of Tyll, we will inform you in the legally required cases on a durable medium, for example by email, about the nature, timing and your rights. This includes your statutory termination rights where they exist. Under the statutory rules, a termination right in particular does not exist where the impairment is only insignificant or where the unchanged version remains available to you without additional cost.
Right of withdrawal for consumers
Consumers generally have a statutory right of withdrawal. The withdrawal period is usually 14 days from conclusion of the contract. Because Paddle is the seller, withdrawal instructions, withdrawal requests, repayment and refund review are handled by Paddle under Paddle's Buyer Terms and Refund Policy.
Tyll is provided as digital content without a physical medium. The right of withdrawal can expire early if the statutory requirements are met: before the withdrawal period ends, you must expressly agree that provision begins, you must confirm that you thereby lose your right of withdrawal when provision begins, and this consent and confirmation must be provided to you together with the contract confirmation on a durable medium, for example by email. Where the download or license access is provided immediately, Paddle obtains these declarations in checkout; the statutory requirements remain decisive.
If the statutory requirements for early expiry are not met, your right of withdrawal remains in place under the statutory rules. A voluntary refund decision by Paddle does not affect statutory rights.
If you validly withdraw, Paddle reverses the purchase or Paddle grants a refund, the related Tyll license ends. We may disable the license; you may no longer use Tyll or make it available to third parties, and you must delete or make unusable the license key and activation-related local copies where this is legally permitted, possible and reasonable for you. This does not apply where mandatory statutory rights require otherwise.
Statutory defect rights against Paddle as seller and mandatory rights against us as software provider and licensor remain unaffected.
Lawful use of recordings and transcripts
You are responsible for using Tyll lawfully. This especially applies to recordings, transcripts, speaker recognition, contacts, local speaker profiles, exports and sharing of content.
You may record or transcribe non-public conversations, meetings or calls only where you have a legal basis before starting, such as valid consent from the affected people or another permitted basis. In Germany, unauthorized recording or disclosure of non-public spoken words can be a criminal offence, in particular under § 201 StGB. If you use Tyll professionally, you are also responsible for informing affected people and complying with your own data protection, professional and confidentiality duties.
You may not use Tyll for unlawful surveillance, hidden recordings, violations of personality rights or unauthorized processing of personal data. This applies especially to sensitive data, such as health data, biometric data or other special categories of personal data.
Optional AI providers and integrations
Optional AI and integration features are off by default. If you enable them, you choose the provider, account, model, endpoint and credentials yourself. The provider's own terms, prices, privacy rules and technical limits apply. We do not owe that an external provider you choose remains permanently available, produces specific results, or keeps its terms and prices unchanged.
Our servers do not receive the content that you send directly from the app to such providers. We provide the technical interface, but we do not operate those external providers and do not conclude contracts with them on your behalf for your self-configured use. If you use Tyll professionally, you are usually responsible for this external processing yourself. You should then check in particular the legal basis, confidentiality duties, data processing agreement, international data transfers and internal approvals of your organization.
AI output may be wrong, incomplete or misleading. You are responsible for reviewing important results before using or sharing them.
Your content
Your recordings, transcripts, texts, contacts, speaker assignments, speaker profiles, exports and other content you create or import remain your content. We do not claim rights in them beyond what is technically or legally required to provide the Tyll functions you use.
Because Tyll works locally on your Mac by default, we do not receive this content during normal operation. If you export, share or send content to an external provider you configured, you are responsible for that use, the required rights and compliance with legal duties.
You are responsible for backing up, deleting or retaining local content and exports as required for your use, your organization and your legal duties.
Third-party components and model licenses
Tyll may include third-party software, open-source components, system libraries and speech or speaker-recognition models. We provide the relevant notices, license texts and, where relevant, model names, model versions, sources, license identifiers and attributions in the app, documentation or installation package.
Where such third-party components have their own license terms, those terms apply additionally to the relevant third-party component. You must comply with such terms where they affect your use of the relevant third-party component. These terms do not limit rights you receive directly under an applicable open-source license or mandatory law.
The third-party components are part of Tyll's technical delivery. Unless expressly stated otherwise, they do not grant you broader rights in Tyll itself, our trademarks, our user interface or our own program parts.
Warranty
The statutory rights regarding defects apply, including the rules for digital products where applicable. Consumers may, under the statutory rules, in particular request cure, reduce the price, terminate the contract and, where applicable, claim damages or reimbursement of wasted expenses. For purchases through Paddle, purchase-related statutory defect rights usually exist against Paddle as seller. We remain responsible for our own duties as developer, software provider and licensor. We provide Tyll as described and supply the legally required updates. We cannot guarantee uninterrupted or entirely error-free availability of the software; your statutory rights are not limited by this.
No legal guarantee exists unless it is expressly called a guarantee. Product descriptions, screenshots, roadmap notes and examples are not a guarantee of a particular recognition accuracy, work result or future feature.
Liability
We are liable without limitation for intent and gross negligence and for injury to life, body or health. This also applies to breaches by our legal representatives and agents. For simple negligence we are liable only for the breach of essential contractual obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you regularly rely. In that case liability is limited to the foreseeable damage typical for this type of contract.
Liability under the Product Liability Act, for fraudulently concealed defects, for guarantees we have expressly assumed and for other mandatory statutory liability remains unaffected.
For loss of or damage to data, in cases of simple negligence we are liable only for the effort that would have been required to restore the data if proper, regular, reasonable and risk-appropriate backups had been made. This limitation applies only where such backup was possible and reasonable, and it does not apply in cases of unlimited liability under the preceding paragraphs.
Data protection
How we handle your data is described in our privacy policy.
Support and complaints
For questions about the software, license activation, technical use, lawful use or a product defect, you can reach us at [email protected]. Purchase-related questions about payment, invoice, tax, repayment or refunds are handled by Paddle as the seller.
We try to answer understandable support requests within a reasonable time. We owe a specific response time, ongoing individual advice or setup of external AI providers only where expressly agreed.
Final provisions
The contract language for the legally authoritative version of these terms is German. English versions are provided for readability and do not take precedence.
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of your country of residence remain unaffected.
We may update these terms with effect for the future if Tyll, our checkout flow or the legal situation changes. For an already completed purchase, the version shown to you during checkout or provided in a durable way applies, unless mandatory law provides otherwise.
Should any provision of these terms be invalid, the validity of the remaining provisions remains unaffected. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
